Logan is a partner and a member of the Firm’s transaction and corporate practice group. In that role, Logan represents and advises clients in matters involving mergers, acquisitions (i.e., buy-sells), corporate governance, corporate restructuring, corporate finance and lending, and licensing. Logan has been with the Firm since 2016, when he joined as a law clerk. He became an associate upon passing the Florida Bar in September 2017, and he became a partner in January 2024.
Logan graduated from the Florida State University College of Law in 2017 with a Juris Doctorate, cum laude, and a Certificate of Business Law, magna cum laude. He also received the Dodd-Frank Book Award for his paper detailing the process for liquidating large, failing financial institutions through use of bridge financial companies. While in law school, Logan was an active member of the Business Review, the Phi Delta Phi Ladd Inn, and the William H. Stafford Inn of Court. Logan also twice competed in the Zehmer National Workers’ Compensation Moot Court Competition, finishing as a quarterfinalist in 2015 and receiving the Best Brief Award in 2016. During his second and third years of law school, he worked as a Research Assistant to Dean Donald J. Weidner. In that role, Logan researched issues in partnership law and real estate finance and assisted with two updates to the book The Revised Uniform Partnership Act (Thomson Reuters).
In 2014, Logan graduated from the Florida State University with a Bachelor of Science, summa cum laude. Logan double majored in Political Science and Applied Economics and minored in Business. He also completed the Honors in the Major Program, the Specialized Studies in Political Economy, and the Specialized Studies in Markets and Institutions. Logan was a member of the Phi Kappa Phi Honor Society, Phi Eta Sigma Honor Society, National Society of Collegiate Scholars, Golden Key International Honor Society, FSU Student Alumni Association, and Seminole Student Boosters.
During his free time, Logan enjoys attending Florida State football games and other Florida State sporting events. He often travels to away and neutral games to support the Noles. Logan is also an avid supporter of women’s athletics at Florida State, and is a member of the Dugout Club (softball) and the Garnet and Goal Club (soccer).
Representative Experience
- Represented clients in the acquisition and sale of franchised and retail businesses in the automotive, motorcycle, powersports, implement, RV, and heavy equipment industries. In 2023, the transaction team oversaw dealership closings involving 59 rooftops across 20 states.
- Represented clients in hotel and restaurant acquisitions.
- Provided on-site closing management and built closing workbooks/statements for transactions. Logan has conducted on-site closings in 23 different states.
- Assisted clients with the negotiation and preparation of transaction documents for both asset and equity transactions including asset purchase agreements, stock purchase agreements, real estate purchase agreements, and leases.
- Regularly serves as counsel and advises clients as to financing, tax matters, entity structure and formation, and assists in the preparation of corporate governance documents including, operating agreements, bylaws, shareholder agreements, management agreements, affiliated service contracts, and pay plans.
